Terms of Service

These Terms of Service ("Terms") govern your access to and use of the document-workspace service provided by Confinity ("Confinity", "we", "us"). By using the Service, you ("Customer", "you") agree to these Terms. If you are agreeing on behalf of a firm or organisation, you represent that you are authorised to do so.
1. The Service
Confinity provisions and operates an isolated, single-tenant document workspace for your firm, hosted in Canada, built on the open-source Nextcloud platform. The Service includes provisioning, hosting, automatic TLS, and daily backups, as described on our website and as updated from time to time.
2. Your responsibilities
- Your content and users. You decide what documents are stored in your workspace and which user accounts and folders to create. You are responsible for the content you and your users upload and for managing access to it.
- Compliance. You are responsible for ensuring your use of the Service — including the collection, storage, and handling of your clients' information — complies with the laws and professional obligations that apply to you.
- Account security. You are responsible for safeguarding administrator credentials and for the activity that occurs within your workspace.
- Acceptable use. You agree not to use the Service to store or distribute unlawful material, to infringe others' rights, to transmit malware, or to attempt to disrupt or gain unauthorised access to the Service or other systems.
3. Data ownership & privacy
As between you and Confinity, you retain all rights to the content stored in your workspace. Confinity accesses it only as needed to operate, secure, support, and back up the Service, or as required by law. Our handling of data is described in our Privacy Policy.
4. Fees
Where the Service is provided for a fee, charges, billing frequency, and payment terms will be as agreed between you and Confinity. Unless otherwise agreed, fees are exclusive of applicable taxes.
5. Availability & backups
We aim to keep the Service available and reliable and take daily backups, but the Service is provided without any guarantee of uninterrupted availability. You are encouraged to keep your own copies of critical documents where appropriate.
6. Suspension & termination
You may stop using the Service and request decommissioning of your workspace at any time. We may suspend or terminate the Service for non-payment, for breach of these Terms, or where required to protect the Service or others. On termination, your workspace, its storage, backups, and DNS record are removed; ask us before termination if you need to export your content.
7. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Confinity disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Confinity is not a party to, and is not responsible for, the professional services you provide to your own clients.
8. Limitation of liability
To the maximum extent permitted by law, Confinity will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Confinity's total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to Confinity for the Service in the twelve months preceding the event giving rise to the claim.
9. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify firms using the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Québec will have jurisdiction over any dispute arising from these Terms or the Service.
